A professional listed iGaming business is looking to hire a brand new role of Corporate Governance Officer. This role will support board and committee operations, manage corporate filings, and contribute to the company’s governance and disclosure obligations across Canada, the U.S., and Europe. Key Responsibilities: Board & Committee Support Coordinate and manage all Board of Directors and Committee meetings, including scheduling, agendas, meeting materials, and accurate minute-taking. Ensure compliance with listing exchange rules (e.g., TSX/Nasdaq), securities laws, and corporate governance best practices. Advise the Board and senior executives on governance obligations and assist with director onboarding and ongoing training. Corporate Governance Maintain the company’s governance framework and ensure adherence to applicable laws, regulations, and internal policies. Support annual meeting preparation, including proxy circulars, shareholder engagement, and related filings. Keep abreast of changes in governance legislation and advise stakeholders on potential impact. Entity Management Maintain corporate records and registers for the parent company and all subsidiaries across jurisdictions. Coordinate incorporations, dissolutions, amendments, and corporate filings (e.g., annual returns, name changes, share issuances). Liaise with external counsel and registered agents in relevant jurisdictions. Regulatory & Public Company Compliance Oversee timely and accurate public disclosures, including SEDAR+/EDGAR filings, insider filings (e.g., SEDI), and stock exchange notifications. Ensure compliance with continuous disclosure obligations, insider trading policies, and blackout periods. Support the CFO and legal team in drafting and filing the annual information form (AIF), MD&A, and other disclosure documents. Shareholder Relations Act as liaison between the company and its shareholders, registrar and transfer agent, and relevant regulatory bodies. Support shareholder communications and the administration of equity incentive plans. Qualifications & Experience: 3+ years in a corporate secretarial, legal, or governance role at a public company Familiarity with corporate law in multiple jurisdictions; regulated industry experience (e.g., gaming, fintech, tech) is an asset Chartered Governance Professional (CGP), qualified attorney, or equivalent designation preferred Excellent organisational, communication, and stakeholder management skills High level of professionalism, discretion, and attention to detail Excellent level of remuneration and benefits.

Legal and Compliance Manager Onsite Denmark   Job Summary: A leading iGaming business is looking for a legal and compliance expert to support the business and ensure full adherence to Danish gambling laws and licensing conditions. This role leads all regulatory matters, including the management of gambling licenses, development of internal compliance policies, and communication with regulatory bodies and more.   Key Responsibilities: Ensure full compliance with Danish Gambling Authority rules and license conditions. Handle the application, renewal, and maintenance of gambling licenses. Oversee regulatory filings, reporting, and audits. Advise internal teams (Marketing, Finance, Tech, etc.) on legal and regulatory matters. Draft and implement compliance policies and procedures, including responsible gambling and anti-fraud measures. Monitor regulatory changes and adjust internal processes accordingly. Serve as the main contact for regulators and represent the company in official meetings and audits. Conduct internal compliance reviews and staff training.   Requirements: Law degree; additional compliance certification is a plus. 7+ years’ experience in legal/compliance roles. Solid understanding of Danish gambling legislation. Experience writing internal policy documents and conducting audits. Fluent in English, with excellent communication skills. Organized, proactive, and detail-oriented.   Bonus Skills: Background in cryptocurrency regulation (Denmark or EU).
